Ready Rewards Terms and Conditions

These Referral Program Terms and These Ready Rewards Terms ("Rewards Terms") govern your participation in the Ready Rewards programme ("Programme") operated by Argent Labs Limited, doing business as Ready ("Ready", "we", "our", or "us").

These Rewards Terms apply in addition to the Ready App and Ready Wallet Terms of Service ("Wallet Terms"). If these Rewards Terms conflict with the Ready Wallet Terms, the Wallet Terms prevail.

1. Overview

Ready Rewards is a loyalty programme that lets eligible users earn and redeem points ("Points") through Ready Wallet activity. Points may appear in-app as (amongst other things) cashback, refunds, or partner rewards, but they are loyalty benefits only, not money, e-money, or cryptoassets.

2. Earning Points

2.1 You can earn Points through actions such as:

• Spending with your Ready Card;
• Swapping or buying tokens in the Ready app; and
• Completing special promotions or partner activities.

2.2 The Points rate depends on your Ready plan (e.g., Lite or Metal), transaction type, and any current promotions or rate boosts shown in the app. Ready may from time to time offer temporary rate boosts (for example, in connection with referrals or for high-frequency users) on the terms displayed in the app. Points are non-divisible: only whole Points are awarded, and any fractional entitlement is rounded down.

2.3 Points are awarded only after the underlying transaction has fully settled and a grace period (currently 7 days) has elapsed. Settlement timing is determined by the relevant card networks and is outside Ready's control. Points may be excluded for certain merchants, merchant category codes (MCCs), or transaction types, as set out in the Ready app.

2.4 Points are recorded off-chain and are visible in your Ready Wallet.

2.5 Ready may apply monthly or other caps on the number of Points that can be earned from card spending or other qualifying activity. The applicable caps are displayed in the Ready app and form part of these Rewards Terms.

3. Redeeming PointsE

3.1 You can redeem Points to:

• Offset the cost of eligible card purchases ("Pay with Points"), in which case Ready will transfer to your Ready Wallet an amount of USDC equal to the value of the qualifying transaction, and deduct the corresponding number of Points from your balance;
• Unlock partner rewards (e.g., Spotify, Netflix) at the specified Points rate; or
• Access other limited-time offers made available in the Ready app.

3.2 The base redemption rate, any promotional or partner rates, and any caps, exclusions or eligibility requirements applicable to redemption are displayed in the Ready app and form part of these Rewards Terms.

3.3 Points themselves cannot be exchanged for cash or cryptoassets and cannot be transferred between users. Where Points are redeemed under clause 3.1, the resulting USDC transfer is the mechanism by which Ready fulfils the redemption and does not represent any underlying monetary value of the Points themselves.

3.4 When you redeem Points for a card purchase, the corresponding refund is processed through your Ready Wallet in periodic batches and is not instant.

3.5 To qualify for redemption, a transaction must (i) have been made on an eligible merchant category code, (ii) be no more than 30 days old, and (iii) have fully settled. Transactions that do not meet all of these requirements cannot be used for redemption.

3.6 Partial redemptions are not available. You must hold sufficient Points to cover the full value of the qualifying transaction at the applicable redemption rate.

3.7 Eligibility for partner offers depends on Ready's ability to identify the merchant from third-party transaction data. This identification is not always reliable, particularly in smaller markets, and Ready does not guarantee that any specific transaction will qualify for a partner offer.

4. Expiry and Termination

4.1 Points do not currently expire. Ready may introduce an expiry date for Points, in which case you will be given at least 30 days' notice and a reasonable opportunity to redeem your existing balance.

4.2 If the Programme ends, you'll be given at least 30 days' notice to redeem any remaining Points.

4.3 If your Ready Wallet is closed by you, or terminated by Ready in accordance with the Wallet Terms, any unredeemed Points will be forfeited. Where your Wallet is temporarily suspended, your Points will be retained and reinstated if and when the suspension is lifted.

5. Limitations

5.1 Points are promotional in nature and have no monetary or asset value.

5.2 Marketing language such as "cashback", "worth $120", or "refund in USDC" describes the redemption experience, not the underlying value of Points. For the avoidance of doubt, Points themselves carry no monetary value and are not a claim on USDC or any other asset; the USDC transferred on redemption is the means by which Ready fulfils the redemption only.

5.3 Ready may adjust or revoke Points for cancelled, refunded, or fraudulent transactions.

5.4 Partner offers are fulfilled by third parties, and Ready is not responsible for their products or services.

5.5 The Programme, and individual features of it (including partner offers), may not be available in all countries or to all users. Eligibility, country availability and any applicable restrictions are shown in the Ready app.

6. Programme Changes

Ready may amend or withdraw the Programme at any time. Updates will appear in the app or on our website. Where a change is materially adverse to users (for example, a reduction in earn or redemption rates, the introduction of an expiry date, or the removal of partner offers), it will take effect no sooner than 30 days after notice is given, except where a shorter period is required for legal, regulatory, or fraud-prevention reasons. Continued participation means you accept those changes.

7. Liability

Ready provides the Programme "as is". To the maximum extent permitted by law, we're not liable for any loss or damage resulting from your participation, or from suspension or termination of Points or offers.

8. Governing Law

These Rewards Terms are governed by English law. The courts of England and Wales will have non-exclusive jurisdiction over any disputes.
